Director's Duties

The Directors must comply with their duties as Directors under legislation and common law (judge made law), and with the duties described in governance standard 5 of the regulations made under the ACNC Act which are:

  • to exercise their powers and discharge their duties with the degree of care and diligence that a reasonable individual would exercise if they were a Director of the Company;
  • to act in good faith in the best interests of the Company and to further the charitable purpose(s) of the Company;
  • not to misuse their position as a Director;
  • not to misuse information they gain in their role as a Director;
  • to disclose any perceived or actual material conflicts of interest in the manner set out in the Constitution;
  • to ensure that the financial affairs of the Company are managed responsibly; and
  • not to allow the Company to operate while it is insolvent.

Director Values and Attributes

Directors are expected to:

  • Have a commitment to the Company;
  • Be able to demonstrate the Company's values;
  • Have a high level of personal integrity;
  • Have a broad knowledge of the aged care and/or welfare services sector;
  • Demonstrate the highest standard of ethical behaviour in their working life; and
  • A sound understanding of governance responsibilities.

Director Skills and Experience

The Company endeavors to maintain a balance in Board skills across governance, legal, finance, risk, and industry knowledge. The Company is particularly interested in Directors with the following experience:

  • Legal and governance expertise
  • Business development expertise
  • Expertise in developing effective strategic partnerships

Board Meetings & Committees

The Board meets approximately ten times a year. Directors will also attend an annual strategic planning workshop. Directors will receive an induction and an externally facilitated Director training session. Board meetings are generally for 1 - 2 hours on a weekday, with the annual planning workshop held on a Saturday which runs for 6 - 8 hours.
